General sales conditions

Order: Exclusive sales to professionals registered on the Trade Registry (After presentation of proof). Our minimum order value for a first order is 1500 Euros, carriage and packaging are additional; no prepaid transport. Payment in advance: For any under 1500 euros orders, 60 euros extra costs will be invoiced.  Our minimum restocking is 500 euros, carriage and packaging are additional; no prepaid transport. Payment in advance: For any under 500 euros orders, 30 euros extra costs will be invoiced. Sale is definitive as soon as the order form is signed and a deposit payment as mentioned in paragraph “terms of payment” is in no way considered as an advanced payment permitting the possibility of a forfeit. Official non-communication intra-community VAT number will lead to an invoice subject to the VAT in force.

Production: Production lead-times are only given by way of indication. Possible delays can in no way give rise to cancellation or payment for the prejudice caused with interest. As our collection is a craft collection and not an industrial one, we cannot guarantee the exact conformity of the part sold. We have a minimum stock for most of our references; otherwise, 3 to 4 months are required as an average lead-time for production. Our Products are registered designs and anyone would be sued in case of copy.

Transport: for a delivery in France it will cost 60 Euros per handling unit at least and 45 Euros for a parcel. For a delivery abroad a quotation will be made according to the destination. The latter does not guarantee breakage or theft. The customer must pay for transport and packing costs as well as all customs formalities. All transport carried out by a shipper chosen by the customer is done under the customer’s responsibility. Our prices are ex-works, Couffouleux, France. However, we can quote any delivery. Although the greatest care has been taken regarding packing, you must check the merchandise on its arrival, in the presence of the driver who cannot deny this right. A package may not bear traces of impact though be handled without due care. Cases of damage must be detailed on the delivery sheet and confirmed within 48 hours by registered letter with acknowledgement of receipt to the carrier with a copy sent by fax or email to Ateliers C&S Davoy for the replacement of the merchandise. If you choose to ship by post, or if the claims procedure mentioned above is not applied, we disclaim any responsibility if the merchandise is damaged. In case of refusal of the merchandise by the customer when the carrier arrives or in case of absence, all the costs of reshipping and redelivery shall be invoiced to the customer in addition to the flat rate. Any modification of delivery address unknown before departure of the goods will be charged 80€. For export over long distances (U.S.A, Middle East, etc.), an additional charge for special packing will be invoiced in case of delivery via an export forwarder. Caution: we only work with professionals. In addition, any delivery to a private individual will be invoiced at 200% of the initial professional price. For any pallet beyond 21 days of storage, the Ateliers reserve the right to invoice the customer for the costs of storing the products with such storage being carried out at the customer’s expense and risk. In that case, 5€ will be charged per pallet and per day.

Claims and returns: Any claim has to be made within 2 days after goods receipt by writing enclosing photos in order to be accepted. No merchandise can be returned to us without our agreement. Exceptionally, when a return is accepted, it must be sent carriage paid, accompanied with a document with the number and date of our invoice. Returned merchandise will not be accepted unless it is returned to us in the condition and box in which we supplied it. However, except for errors imputable to us, the credit note shall not exceed 85% of the amount of the initial invoice, in order to cover the administrative costs inherent in the operation.

Payment: No merchandise can leave our workshops without having been paid before in full. Each shipment gives rise to an invoice. A down payment must be paid at the order and the balance must be paid before shipment. Payment in France: cheque, credit card or bank transfer; Export: credit card or bank transfer. For export over long distances (U.S.A, Middle East, etc...), 20€ will be charged as bank fees, in addition to potential shipping costs and administrative fees. Any discount will be done for any cash payment.

Late payment: In the case of payment after the due date printed on the invoice, penalties equivalent to one and a half times the legal rate of interest shall be applicable pro rata period of delay, unless the customer is given an exceptional waiver (according to laws 92-1442 of 31/12/92 and 93-122 of 29/01/93). 250€ will be charged as recovery fees for French debtors and 500€ for European and worldwide debtors.

Ownership clause: By express decision, we reserve the right of ownership over the merchandise supplied until the day when it is paid for in full, in accordance with the law 80.335 of 12 May 1980. Only the Commercial Court of Albi shall be deemed competent to settle disputes.

Intellectual Property: The Ateliers C&S Davoy are the exclusive distributors of the registered trademark “Ateliers C&S Davoy” and “upaGuru”. All the texts, comments, illustrations reproduced on our site are the exclusive author and intellectual property of Ateliers C & S Davoy throughout the world. In compliance with the intellectual property dispositions, only the private use is allowed. Any other use is forbidden except if Ateliers C & S Davoy has accepted it. Any reproduction – even partial– of our catalogue is strictly forbidden.

For the last 5 five sales conditions, the French law will be applied except the Vienna Convention of 1980.
